Rider / Driver-Partner Agreement
Parties and Purpose
This Agreement is between Transpport Lynk Private Limited (“Transpport”) and you, the individual registering as a rider, delivery agent, or driver-partner (“Partner”) on the Transpport App (available on Google Play) or website www.transpport.com. Completing onboarding and activating your account means you agree to this Agreement and our Privacy Policy.
Independent Contractor Relationship, Taxes and Social Security
You're engaged as an independent service partner, not an employee, agent, or representative of Transpport.
You choose your own hours and are free to go online or offline and to accept or decline bookings. You're responsible for your own income tax and, where applicable, GST; for your vehicle costs, fuel, mobile phone and data; and for compliance with applicable vehicle and traffic regulations.
2.1 Social security and tax deduction
Transpport will comply with the registration, reporting and contribution duties that the Code on Social Security, 2020 and related rules place on aggregators. In particular:
- Transpport may register you on the Government's designated portal for gig and platform workers and share the details required by law (such as your name, mobile number, Aadhaar, and the days you work and earn on the platform), and report when you stop working on the platform.
- Any contribution the law requires an aggregator to make will be paid by Transpport and will not be deducted from your earnings.
- Eligibility for any social security benefit depends on the conditions in the law, including the minimum number of days worked on a platform, and is decided by the relevant authority.
- Transpport deducts tax at source (TDS) where the law requires it and shows it in your earnings statement.
Eligibility
You must be at least 18 years old, legally eligible to work/contract in India, hold a valid licence for your vehicle category with genuine, current documents, and have no pending criminal proceedings or relevant convictions in the last 3 years. You consent to Transpport conducting police verification and background checks at onboarding and periodically thereafter.
Onboarding and KYC
Before activation you'll need to complete:
- A live selfie
- Aadhaar (front and back) - mandatory for identity verification
- PAN, where applicable
- Driving licence details and images
- Vehicle RC images, vehicle type, brand and model
- Vehicle insurance certificate with its expiry date
- Bank account or UPI details for payout
- Address and emergency contact details
- Transpport's partner training
Your KYC documents are stored in private, access-controlled storage - never on public URLs - and you can track the verification status of each step in the App. Our team activates your account once verification is complete. Onboarding typically takes 2–3 working days after document submission.
Vehicle, Insurance and Safe Driving
You confirm your vehicle is legally registered, insured, and roadworthy, and that you'll maintain all permits, fitness certificates, and insurance throughout your time on the platform. You're solely responsible for your vehicle's operation, maintenance, and legal compliance - Transpport has no ownership interest in it and assumes no responsibility for it.
5.1 Insurance
You must keep valid vehicle insurance, as required by law, for the whole time you use the platform, and keep a copy available for verification. Transpport does not insure your vehicle.
Transpport arranges group accident and medical insurance cover for Partners. The cover details, limits and claim process are shared in the App, and the insurer's policy terms apply. To enrol you and process claims, Transpport shares the relevant details with the insurer (see Section 17).
5.2 Safe driving
- Follow all traffic laws and speed limits. Two-wheeler riders must wear a helmet and drivers must wear a seat belt.
- Do not use a handheld phone while driving or riding.
- Do not work when you are unwell, tired, or under the influence of alcohol or drugs. Take regular breaks. For your safety, the App reminds you to rest and limits how long you can stay online.
- Keep your vehicle clean, in good working order, and roadworthy at all times.
- Do not carry more passengers or goods than the law, your vehicle category's load limit, and the booking allow.
Accepting and Cancelling Bookings
Only accept bookings you can legally and operationally fulfil. Genuine reasons to cancel an accepted booking include a safety risk, vehicle breakdown, a legal restriction, prohibited or mis-declared goods, wrong booking information, or something beyond your control - report the reason immediately in the App. Don't pressure a customer to cancel to dodge a charge. Repeated, avoidable, or unexplained cancellations may lead to a warning, review, temporary suspension, a payout adjustment for that booking (only after you've had a chance to explain), or deactivation.
Handling Goods - Your Primary Responsibility
You agree to:
- Handle goods carefully and follow App instructions
- Check packaging and condition before accepting pickup, photograph the goods' condition at pickup in the App, and flag pre-existing damage or bad packaging before pickup
- Refuse or escalate anything unsafe, prohibited, or clearly mis-declared (see our Prohibited Items list)
- Use only your approved vehicle without overloading it
- Keep goods secure and never open, tamper with, use, consume, or dispose of them
- Get OTP, signature or photo proof of delivery from the right recipient
- Report any accident, loss, damage, or delay immediately
- Never privately settle a goods claim with a customer - all claims go through Transpport under our Claims, Loss and Damage Policy
Responsibility for Damage and Loss
We'll review the evidence before deciding responsibility for any loss, damage, or misdelivery, and you'll always get a chance to explain your side first. You may be held responsible for damage caused by your negligence, misconduct, fraud, or a breach of this Agreement - but this Agreement doesn't create automatic or unlimited liability just because a complaint was made. We may temporarily hold a disputed payout only where genuinely necessary for a documented investigation, and only after giving you notice and a chance to respond.
8.1 Indemnity
You agree to indemnify Transpport against any third-party claim, loss, penalty, or liability, including reasonable legal costs, arising from your negligence, misconduct, false or forged documents or information, accidents, or a traffic/regulatory violation, including damage to goods caused by you. Fines and challans issued for your driving or vehicle are your responsibility. This does not apply to losses caused by Transpport's own negligence or wilful misconduct.
Code of Conduct and Ratings
Behave professionally at all times:
- Speak calmly and politely. Do not raise your voice, shout, argue, mock, humiliate, or use insulting language, even if you are frustrated or the customer is upset. Stay calm and report the issue through the App instead of arguing.
- Be punctual. If you are running late or cannot reach the pickup point on time because of traffic, bad weather, a road closure, a vehicle breakdown, or any other reason, tell the customer through the App or by call as soon as possible.
- No abusive, threatening, or discriminatory language or gestures, and no unwanted physical contact or sexual conduct towards a customer.
- No discrimination based on a customer's religion, caste, race, gender, disability, marital status, sexual orientation, or other protected characteristic, including when cancelling a booking.
- No demanding payments outside the App, and no negotiating fares directly with customers. Do not ask a customer for tips, extra money, gifts or favours.
- Ask for or share an OTP only at the pickup or handover step shown in the App. Never ask a customer for an OTP, PIN or any payment detail for any other reason.
- Treat customer information (name, phone number, address, goods details) as confidential. Use it only for the booking, and do not copy, share, post online, photograph, or record customers without their consent.
- Take a reasonably direct route and do not carry extra passengers or stop for personal errands, unless the customer agrees or traffic or safety requires it.
- No illegal or unsafe goods, and no driving under the influence of alcohol or any controlled substance.
- Maintain basic hygiene and present yourself in a manner appropriate for a service professional.
- No contact with a customer outside the App once a booking is done, except through Transpport support for an item left behind.
9.1 Ratings
Customers can rate you after a booking. Ratings and feedback help keep the platform reliable and safe. A single low rating or complaint will not by itself lead to deactivation without a fair review that takes your explanation into account. Repeated verified complaints may lead to a warning, retraining, suspension, or deactivation. Customers must not rate you based on a protected characteristic, and you may report any such rating through the App for review.
Your Rights and Protection
You're entitled to a safe, harassment-free working environment. If a customer behaves abusively or makes you feel unsafe, you can end the booking where it's safe to do so, contact Transpport support, and report it - we'll investigate and may warn, suspend, or bar the customer.
You may decline or stop a booking that is unlawful or unsafe (for example, prohibited goods, a request to break traffic rules, or a threat to your safety) without any penalty, and you should report it through the App. You have the right to be treated with the same respect and dignity that you are required to show customers.
Earnings, Payouts and Transparency
Your earnings are based on completed bookings, less Transpport's commission, and are paid daily to your registered bank account or UPI ID through our authorised and regulated payout partners. Commission rates are communicated to you in the App at onboarding and may vary by vehicle category. Disputed or fraudulent transactions may be reviewed before settlement.
- Your earnings for a booking are shown to you in the App before you accept it.
- You can see an earnings statement in the App showing fares, commission, taxes (including TDS), any deductions, settlements and payment history.
- Deductions will be made only for reasons stated in this Agreement. If you disagree with an amount, you may raise a dispute through App support within 30 days of the booking, and we aim to respond within 15 working days.
- Earnings shown on our website or in calculators are illustrative only. Transpport does not guarantee any minimum number of bookings or any minimum earnings.
- Transpport is not responsible for payout failures caused by incorrect bank or UPI details provided by you.
Deductions, Penalties and Fraud
Cancelling without genuine cause, taking bookings off-platform, manipulating GPS or trip records, or any fraud/dishonesty may result in a warning, review, suspension, a proportionate payout adjustment (after you've had a chance to respond), or deactivation. Any penalty amount will be shown in the App before it applies, and you may ask for a review through App support. We may recover amounts paid out in error or through fraud, subject to law and reasonable notice.
Safety Features
- Live GPS tracking shared with the customer during a booking
- OTP-secured pickup and delivery handover
- Photo records of goods at pickup and proof of delivery
- Rest reminders and limits on time spent online
- Group accident and medical insurance cover (Section 5.1)
- Partner training and incident protocols
- Transpport support via the App, phone and WhatsApp
Suspension, Termination and Review
We may suspend or terminate your account for breach of this Agreement, suspected fraud, abusive behaviour, a disqualifying conviction, or extended inactivity. Except for serious misconduct requiring immediate action (such as violence, threats, sexual misconduct, fraud, a safety risk, or a legal order), we'll give you notice and a chance to respond before a final decision - and you can request a review of any suspension or deactivation by writing to our Grievance Officer (Section 19) or through App support. We will review it in good faith and tell you the outcome.
Either you or Transpport may end this Agreement at any time. You may also delete your account from your Profile in the App (see Account Deletion). On termination, Transpport will settle your verified pending earnings, less valid dues. Provisions that by their nature continue (including limitation of liability, indemnity, confidentiality, data protection, and dispute resolution) continue after termination.
Limitation of Liability
Transpport is a technology platform only. To the maximum extent permitted by Indian law, our total liability to you for any claim under this Agreement won't exceed the amount paid to you for the specific booking concerned. Nothing here limits liability that can't legally be excluded.
Force Majeure
Neither you nor Transpport will be liable for failure or delay in performing any obligation caused by events beyond reasonable control, including natural disasters, floods, storms, epidemics, strikes, bandhs, riots or civil unrest, political rallies, processions, VIP movements, curfews, road closures, orders of the government, police or courts, war or terrorism, outages of power, internet, telecom, cloud or payment systems, and accidents or vehicle breakdowns outside your reasonable control. You will not be penalised for delays or cancellations genuinely caused by such events and reported through the App. Transpport may pause or limit bookings in an area for safety or legal reasons.
Data We Collect
Personal details, live selfie, KYC documents and verification status, emergency contact details, vehicle details, bank/payout information, earnings and tax records, ratings, photos of goods and proof of delivery, and live location while on duty. Financial/KYC records are retained for a minimum of 7 years.
We don't sell your data - we share only what's necessary with customers (for tracking), our authorised payment and payout partners, verification providers, insurers (for the group cover in Section 5.1), government portals where the law requires it (including social security registration), and law enforcement where legally required. You can access, correct, or request deletion of your data, withdraw consent, and nominate another person to exercise your rights. Please write to our Grievance Officer first (Section 19); if unresolved, you may approach the Data Protection Board of India under the DPDP Act, 2023, once applicable provisions are in force. See our Privacy Policy for full details.
General Provisions
If any part of this Agreement is found invalid, the rest still applies. This Agreement and our Privacy Policy together form the complete agreement between us. You can't transfer your rights under this Agreement without our consent; we may assign it in a merger or sale. We'll send notices via the App, SMS, or your registered email. We may update this Agreement from time to time; we will notify you in the App of material changes and ask you to accept the updated Agreement. If you do not agree, you may stop using the platform and settle any pending earnings as described in Section 14.
Governing Law, Arbitration and Grievance Redressal
Governed by Indian law. If a dispute arises, you agree to first write to our Grievance Officer and the parties will try in good faith to resolve it amicably within 30 days. If it is not resolved in that time, it will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual consent (or, failing agreement within 15 days, appointed as the Act provides). The seat and venue of arbitration will be Kolkata, West Bengal, and the language will be English; on request, Transpport will explain the process to you in your preferred language. The courts at Kolkata, West Bengal have exclusive jurisdiction for interim relief and for enforcement of any award.
19.1 Grievance Officer
For complaints, suspension or deactivation reviews, payout disputes or data requests, you may write to our Grievance Officer. We aim to acknowledge complaints within 48 hours and resolve them within 15 working days.
